Terms of Service

1. Definitions
In these Terms of Service, the following terms shall have the meanings ascribed below.
- "Agreement" means these Terms of Service, together with our Privacy Policy and any other policies referenced herein.
- "Candidate" means an individual who creates an account on the Jobs Platform to seek employment opportunities at Reduzer, submit applications, or participate in assessments.
- "Commercial Services Agreement" means a separate written agreement between Reduzer and a client for talent outsourcing, software development, or other professional services, which is not governed by these Terms.
- "Content" means any data, text, files, documents, images, or other materials uploaded, submitted, or created by Users on the Platforms.
- "Jobs Platform" means the recruitment platform where candidates can apply for positions at Reduzer.
- "Platforms" means collectively the Marketing Website, Scoping Platform, and Jobs Platform.
- "Reduzer", "we", "us", or "our" means Reduzer Technologies Limited, a company registered in Kenya.
- "Scoping Platform" means the SaaS project scoping tool for clients who want to scope their projects.
- "Services" means the online services provided through the Platforms, excluding services provided under a Commercial Services Agreement.
- "Subscription" means a paid plan for accessing premium features on the Scoping Platform.
- "User", "you", or "your" means any individual or entity accessing or using the Platforms.
2. Scope of These Terms
These Terms govern your use of our online Platforms only. Commercial services such as talent outsourcing, dedicated development teams, and MVP development are governed by separate Commercial Services Agreements negotiated and executed offline.
These Terms apply to your access and use of the following Platforms.
2.1 What These Terms Cover
These Terms cover the use of the Marketing Website to access information and submit contact inquiries, the Scoping Platform for project scoping, AI-powered analysis, document generation, and team collaboration, and the Jobs Platform for candidate profiles, job applications, and assessments.
2.2 What These Terms Do Not Cover
The following services are not governed by these Terms and require separate written agreements.
- Talent Outsourcing involves placement of Reduzer-trained engineers into client teams, governed by a separate Talent Outsourcing Agreement.
- Software Development Services including MVP development, dedicated teams, and custom software projects are governed by a separate Software Development Agreement.
- Reduzer School developer training programs are governed by separate enrollment agreements.
- Enterprise Arrangements such as custom enterprise platform deployments or integrations are governed by separate enterprise agreements.
If you are a client engaging Reduzer for professional services, the terms of your Commercial Services Agreement shall govern that engagement and shall prevail over these Terms in the event of any conflict relating to those services.
3. Acceptance of Terms
By accessing or using any of our Platforms, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy.
If you do not agree to these Terms, you must not access or use our Platforms.
If you are entering into this Agreement on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
For Users located outside Kenya, these Terms apply equally, and you consent to the application of Kenyan law and jurisdiction as set forth herein.
4. Account Registration and Security
To access certain features of the Scoping Platform and Jobs Platform, you must create an account through our authentication system.
4.1 Registration Obligations
By creating an account, you agree to provide accurate, current, and complete information during registration, maintain and promptly update your account information to keep it accurate, maintain the confidentiality of your login credentials, accept responsibility for all activities occurring under your account, and immediately notify us of any unauthorized use of your account or any security breach.
4.2 Single Sign-On
Your account credentials may be used across multiple Reduzer Platforms through our single sign-on (SSO) system. By creating an account, you consent to this cross-platform authentication.
5. Scoping Platform Terms
The following terms apply specifically to your use of the Scoping Platform.
5.1 Service Description
The Scoping Platform is a SaaS tool that enables you to create and manage project scope documents, use AI-powered analysis to extract requirements and generate documentation, collaborate with team members on scope documents, share documents with guests via secure tokens, and export documents as PDFs.
5.2 Subscriptions
Access to certain features requires a paid Subscription. Subscriptions are billed in advance on a recurring basis (monthly or annually), and you authorize us to charge your payment method through our payment processor on each billing date. Subscriptions auto-renew unless cancelled before the renewal date, and cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods unless required by law.
5.3 Your Content
You retain ownership of all Content you upload or create on the Scoping Platform. By using the Platform, you grant Reduzer a non-exclusive, worldwide, royalty-free license to process your Content through our AI systems and third-party AI providers to deliver the Services, store and transmit your Content as necessary to provide the Services, and use anonymized and aggregated data derived from usage patterns to improve the Services.
5.4 Team Collaboration
If you invite team members to collaborate on projects, you are responsible for managing their access permissions and ensuring they comply with these Terms.
6. Jobs Platform Terms
The following terms apply specifically to your use of the Jobs Platform.
6.1 Platform Purpose
The Jobs Platform is Reduzer's recruitment tool where candidates can apply for employment opportunities at Reduzer. Reduzer posts job descriptions and manages the recruitment process through the Platform.
6.2 No Guarantee of Employment
Use of the Jobs Platform does not guarantee employment. Creating an account, submitting an application, or completing assessments does not create any employment relationship with Reduzer until a formal offer is made and accepted.
6.3 AI-Powered Screening
The Jobs Platform uses AI to assist with candidate screening and assessment evaluation. Candidates consent to AI analysis of their profiles, resumes, and assessment responses by using the Platform. AI screening is assistive only and final hiring decisions remain with Reduzer's human reviewers.
7. Candidate-Specific Terms
If you use the Jobs Platform as a Candidate, the following additional terms apply.
7.1 Profile Information
You must provide accurate and truthful information in your profile and resume. You are responsible for keeping your profile current and accurate. Misrepresentation of qualifications, experience, or skills is grounds for application rejection and account termination.
7.2 Consent to Data Processing
By submitting your profile and applying for jobs, you expressly consent to Reduzer processing your profile information, resume, assessment results, and generating AI-powered screening summaries for use in Reduzer's recruitment process.
You may withdraw this consent at any time by deleting your profile, though this will prevent you from applying for jobs on the Platform.
7.3 Assessments
You agree to complete assessments honestly and without unauthorized assistance. You consent to anti-cheat monitoring during assessments as described in Section 9. Cheating or dishonesty may result in score invalidation, disqualification, and account termination.
7.4 No Guarantee of Employment
Reduzer does not guarantee that you will receive job offers, interviews, or employment as a result of using the Platform. All hiring decisions are made solely by Reduzer.
8. AI-Powered Features and Consent
Our Platforms use artificial intelligence technologies provided by third-party AI service providers. By using AI-powered features, you expressly consent to the processing of your data through these AI systems, including the transfer of data to servers that may be located outside Kenya.
8.1 Scoping Platform AI Features
On the Scoping Platform, AI is used for analyzing project requirements from uploaded documents, extracting scope elements and generating structured documentation, and providing recommendations and suggestions.
8.2 Jobs Platform AI Features
On the Jobs Platform, AI is used for analyzing resumes and candidate profiles, generating candidate screening summaries, evaluating assessment responses, and matching candidates to job requirements.
8.3 AI Limitations
You acknowledge and agree that AI-generated outputs are assistive in nature and should be reviewed by humans before making decisions. AI outputs may contain errors, inaccuracies, or biases. Reduzer does not guarantee the accuracy or completeness of AI-generated content, and you are responsible for verifying AI outputs before relying on them.
8.4 Right to Human Review
Where AI-assisted decisions significantly affect you, you have the right to request human review. Contact us at [email protected] to request review.
9. Assessment Integrity and Monitoring
When taking assessments or participating in interviews on the Jobs Platform, we employ anti-cheat and integrity monitoring systems. By participating, you expressly consent to such monitoring. Violations may result in disqualification, score invalidation, and account termination.
When taking assessments or participating in interviews on the Jobs Platform, you agree to complete them honestly and without unauthorized assistance.
9.1 Monitoring Measures
Integrity monitoring may include browser activity monitoring and tab switch detection, session recording, webcam monitoring during video interviews, behavioral analysis and anomaly detection, and copy-paste detection.
9.2 Consent to Monitoring
By commencing an assessment or interview, you expressly consent to the monitoring measures described above. This consent is required to participate in assessments.
9.3 Consequences of Violations
If we detect potential integrity violations, we may invalidate your assessment scores, disqualify you from the application process, flag your account for review, or terminate your account.
10. Payments and Billing
Payments for Subscriptions and other paid Services are processed through our payment processor. By making a payment, you agree to the payment processor's terms of service in addition to these Terms.
10.1 Pricing
Prices are displayed on the Platform and may be changed at any time. Price changes will not affect existing paid Subscription periods.
10.2 Payment Authorization
By providing payment information, you authorize us to charge your payment method for the amounts due. You represent that you are authorized to use the payment method provided.
10.3 Refunds
All fees are non-refundable unless otherwise required by applicable law. Cancellation of a Subscription does not entitle you to a refund of any fees already paid.
10.4 Commercial Services
Payment terms for talent outsourcing, software development, and other commercial services are governed by your separate Commercial Services Agreement with Reduzer, not these Terms.
11. Prohibited Uses
You are prohibited from using our Platforms for any unlawful purpose or in violation of any applicable laws, to submit false, misleading, or fraudulent information, to infringe upon intellectual property rights of any party, to harass, abuse, defame, threaten, or discriminate against any person, to attempt to reverse engineer, decompile, or access our source code, to interfere with or disrupt the Platforms or bypass security measures, to impersonate any person or entity or misrepresent your affiliation, to use automated systems (bots, scrapers) to access the Platforms without authorization, to share login credentials or allow unauthorized access to your account, to complete assessments dishonestly or with unauthorized assistance, to circumvent anti-cheat or integrity monitoring systems, to transmit malware, viruses, or other harmful code, or to engage in any activity that could damage, disable, or impair the Platforms.
12. Intellectual Property
12.1 Reduzer's Intellectual Property
The Platforms, including all software, designs, text, graphics, logos, trademarks, and other content created by Reduzer, are the exclusive property of Reduzer Technologies Limited and are protected by intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our Platforms or included content without our prior written permission.
12.2 Your Content
You retain ownership of Content you create or upload to the Platforms. By submitting Content, you grant Reduzer a non-exclusive, worldwide, royalty-free license to use, process, store, and display such Content as necessary to provide and improve the Services.
12.3 Feedback
If you provide feedback, suggestions, or ideas about our Platforms, you grant Reduzer the right to use such feedback without compensation or attribution.
12.4 Commercial Services IP
Intellectual property rights for deliverables created under talent outsourcing or software development engagements are governed by your Commercial Services Agreement, not these Terms.
13. Third-Party Services
Our Platforms integrate with third-party services to provide full functionality.
Your use of these integrated services may be subject to their respective terms and privacy policies. We are not responsible for the practices, availability, or content of third-party service providers.
By using our Platforms, you consent to the sharing of necessary data with these providers to enable Platform functionality as described in our Privacy Policy. You may contact us at [email protected] to request a current list of our specific service providers.
14. Guest Access and Sharing
The Scoping Platform allows you to share scope documents with guests via secure tokens.
14.1 Your Responsibilities
You are responsible for managing access to shared content and ensuring recipients are authorized to view the shared content. You remain responsible for the confidentiality of shared content.
14.2 Link Expiration
Shared links may expire according to settings you configure. You can revoke access at any time through your account settings.
15. Confidentiality
We maintain strict confidentiality regarding your information and Content. We will protect your confidential information with reasonable care, not disclose confidential information without consent except as necessary to provide the Services, as required by law, or as otherwise permitted under these Terms, and ensure appropriate confidentiality obligations are in place with our personnel and service providers.
Confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully received from third parties.
16. Limitation of Liability
To the maximum extent permitted by applicable law, the following limitations apply.
16.1 Exclusion of Indirect Damages
Reduzer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, arising from or related to your use of the Platforms, even if advised of the possibility of such damages.
16.2 Liability Cap
Our total aggregate liability for any claims arising from or related to these Terms or your use of the Platforms shall not exceed the greater of (a) the total fees paid by you to Reduzer in the twelve (12) months preceding the claim or (b) One Hundred US Dollars (USD 100).
16.3 Specific Exclusions
Without limiting the foregoing, Reduzer shall not be liable for decisions made by candidates based on Platform information, employment outcomes, errors, inaccuracies, or biases in AI-generated content, loss of data due to system failures or your failure to maintain backups, third-party service outages or failures, or unauthorized access to your account due to your failure to protect credentials.
16.4 Jurisdictional Limitations
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
17. Disclaimer of Warranties
THE PLATFORMS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the maximum extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, warranties that the Platforms will be uninterrupted, error-free, secure, or free of viruses, warranties regarding the accuracy, reliability, or completeness of any content, including AI-generated content, and warranties regarding the results obtainable from use of the Platforms.
You use the Platforms at your own risk.
18. Indemnification
You agree to indemnify, defend, and hold harmless Reduzer Technologies Limited, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Platforms, your violation of these Terms, your violation of any applicable law or regulation, your Content or any data you submit to the Platforms, and your infringement of any third-party rights.
19. Termination
19.1 Termination by You
You may terminate your account at any time by contacting us at [email protected] or through account settings where available. Termination does not entitle you to refunds of any fees paid.
19.2 Termination by Reduzer
We may suspend or terminate your access to the Platforms at any time, with or without cause or notice, including but not limited to violation of these Terms, fraudulent, abusive, or unlawful activity, non-payment of fees, extended periods of inactivity, or requests by law enforcement or government agencies.
19.3 Effect of Termination
Upon termination, your right to access the Platforms ceases immediately, and we may delete your Content after a reasonable period. Provisions that by their nature should survive termination shall remain in effect, including Sections 12, 15, 16, 17, 18, 20, and 23.
20. Governing Law and Dispute Resolution
20.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to conflict of law principles.
20.2 Dispute Resolution
Any disputes arising from or related to these Terms or your use of the Platforms shall be resolved as follows. First, the parties shall attempt to resolve disputes through good faith negotiation for a period of thirty (30) days. If negotiation fails, the parties may agree to submit the dispute to mediation. If mediation is unsuccessful or not pursued, disputes shall be submitted to the exclusive jurisdiction of the courts of Kenya.
20.3 Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
21. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify Users of material changes by posting the updated Terms on our Platforms, updating the "Last updated" date at the top of this page, and for material changes, sending notification to your registered email address.
Your continued use of the Platforms after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platforms.
22. Severability
If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
23. Entire Agreement and Relationship to Other Agreements
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Reduzer regarding your use of the Platforms.
Relationship to Commercial Services Agreements: If you have entered into a separate Commercial Services Agreement with Reduzer for talent outsourcing, software development, or other professional services, the Commercial Services Agreement governs those services, these Terms govern your use of the Platforms, and in the event of conflict between these Terms and a Commercial Services Agreement regarding the subject matter of that agreement, the Commercial Services Agreement shall prevail.
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
